These Terms & Conditions apply to the use of Rooni Trust Signal, a consent management platform provided by Rooni. By creating an account, accessing the platform, using our website, or using any Trust Signal script, banner, preference centre, API, dashboard, scan, integration, or related service, you agree to these Terms. If you are using Trust Signal on behalf of a company or organisation, you confirm that you have authority to accept these Terms on its behalf.
1. About Rooni Trust Signal
Rooni Trust Signal helps organisations manage website consent experiences, including cookie banners, consent preferences, consent signals, analytics, consent records, cookie or script categorisation, and related privacy tooling. Trust Signal is designed to support privacy compliance workflows, including consent management and Google Consent Mode configuration. However, Rooni does not provide legal advice, and use of the platform does not guarantee legal compliance.
You remain responsible for ensuring that your website, app, tracking technologies, privacy notices, cookie practices, and consent configuration comply with the laws that apply to you.
2. Definitions
"Rooni", "we", "us" or "our" means Rooni. "Trust Signal" means the consent management platform, scripts, dashboard, tools, APIs, preference centres, documentation, integrations, and related services provided by Rooni. "Customer", "you" or "your" means the person, business, or organisation using Trust Signal. "End user" means a visitor or user of a website, app, or digital service where Trust Signal is implemented. "Customer Data" means data submitted to, generated by, or processed through Trust Signal on behalf of a Customer. "Consent Data" means records relating to an end user's consent choices, preference settings, consent signals, timestamp, jurisdiction, device or browser information, and related technical data.
3. Account registration
To use Trust Signal, you may need to create an account and provide accurate account, billing, and contact information. You are responsible for keeping login details secure, controlling access to your account, ensuring authorised users comply with these Terms, and notifying us promptly of unauthorised access or suspected security issues. We may suspend or restrict access where we reasonably believe an account has been compromised or is being used in breach of these Terms.
4. Subscriptions, trials and billing
Trust Signal may be offered through free trials, paid subscriptions, usage-based plans, annual plans, or custom enterprise agreements. Unless otherwise agreed in writing: subscription fees are payable in advance; taxes may be added where applicable; plans renew automatically unless cancelled before renewal; usage limits may apply based on websites, domains, consent events, monthly users, page views, scans, team members, or other plan metrics; exceeding usage limits may require an upgrade or additional fees.
Payments are processed by our third-party payment provider, Paddle, acting as Merchant of Record. Their terms also apply to payment processing.
5. Free trials
If we offer a free trial, it is provided for evaluation purposes only. Every workspace starts with a 14-day free trial — no card required. We may change, limit, or withdraw free trials at any time. At the end of the trial, access may be restricted unless you choose a paid plan.
6. Customer responsibilities
You are responsible for how Trust Signal is configured and used on your website or app, including: deciding which cookies, scripts, SDKs, pixels, tags, and vendors are used; assigning cookies and technologies to the correct categories; deciding which consent choices are required in each jurisdiction; ensuring your banner wording, preference centre wording, and privacy notices are accurate; ensuring tags and third-party scripts are correctly blocked, fired, or configured based on user consent; ensuring your own privacy policy and cookie policy are accurate; responding to end-user privacy requests where you are the controller; and ensuring your implementation complies with GDPR, ePrivacy, PECR, UK GDPR, CCPA/CPRA, LGPD, or other laws that apply to your organisation.
Rooni may provide default wording, templates, classifications, suggestions, or configuration options, but you are responsible for reviewing and approving them.
7. Legal and compliance disclaimer
Trust Signal is a technology platform. It is not a law firm and does not provide legal, regulatory, or compliance advice. Any templates, banner wording, cookie categories, policy suggestions, recommendations, or compliance indicators are provided for general information and operational support only. You should obtain independent legal advice before relying on any configuration, policy, or compliance setup.
8. Use of scripts and integrations
Trust Signal may require you to install a script, tag, SDK, API connection, or integration on your website or app. You are responsible for installing the script correctly, testing consent behaviour before publishing, ensuring third-party tags respect the user's consent choices, monitoring changes to your website, tag manager, cookies, vendors, and scripts, and updating your configuration when your website or tracking stack changes. Rooni is not responsible for tracking, data collection, or third-party vendor behaviour caused by incorrect implementation, customer configuration, or changes outside our control.
9. Cookie scanning and classification
Trust Signal includes cookie, script, and website scanning functionality. Scans may not detect every technology used on your website, especially where scripts are conditional, geo-specific, consent-dependent, dynamically loaded, behind login, blocked by robots, or triggered only by certain user actions. Scan results are provided to help you identify and manage technologies, but you remain responsible for validating the results.
10. Consent records
Depending on your plan and configuration, Trust Signal stores consent records, preference updates, timestamps, consent signals, jurisdiction data, and technical identifiers. You are responsible for determining whether consent records are required, what retention period applies, and whether those records are sufficient for your legal obligations.
11. Data protection roles
For personal data processed in connection with your own account, billing, support requests, website visits, and direct communications with Rooni, Rooni generally acts as a data controller. For personal data processed through Trust Signal on behalf of a Customer, including end-user consent records and preference data, Rooni generally acts as a data processor and the Customer acts as the controller.
Where Rooni processes personal data on behalf of a Customer as a processor, that processing is governed by our Data Processing Addendum, which forms part of these Terms unless the parties have entered into a separate signed data processing agreement.
12. Acceptable use
You must not use Trust Signal to violate applicable laws; collect personal data unlawfully; mislead users about tracking or consent; bypass or manipulate consent choices; deploy malicious code; interfere with the security or operation of Trust Signal; reverse engineer, copy, resell, or misuse the platform; or support spam, fraud, malware, unlawful surveillance, or deceptive tracking practices.
13. Intellectual property
Rooni owns all rights in Trust Signal, including the platform, software, scripts, interface, designs, documentation, trademarks, logos, and related intellectual property. You retain ownership of your own Customer Data, website content, brand assets, and configuration content. We grant you a limited, non-exclusive, non-transferable right to use Trust Signal during your subscription, subject to these Terms.
14. Feedback
If you provide suggestions, feedback, or ideas about Trust Signal, we may use them to improve our products without obligation to compensate you.
15. Confidentiality
Each party may receive confidential information from the other. Confidential information must be protected using reasonable care and may only be used for the purpose of providing or receiving the services. Confidentiality obligations do not apply to information that is public, already known, independently developed, or required to be disclosed by law.
16. Security
Rooni uses reasonable technical and organisational measures to protect the platform and Customer Data. However, no online service can be guaranteed to be completely secure. You are responsible for maintaining secure passwords, controlling access, and configuring your account appropriately.
17. Third-party services
Trust Signal may integrate with or rely on third-party services, including hosting providers, analytics providers, authentication providers, payment processors, email services, tag managers, and customer support tools. We are not responsible for third-party services that we do not control. Where third-party services process personal data on behalf of Rooni, they are addressed in our Privacy & Cookie Notice and Data Processing Addendum.
18. Service availability
We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. We may suspend, modify, or restrict access for maintenance, security, legal, operational, or misuse-related reasons.
19. Changes to the service
We may update, improve, modify, or discontinue parts of Trust Signal from time to time. Where a material change significantly affects paid functionality, we will take reasonable steps to notify affected Customers.
20. Suspension and termination
We may suspend or terminate your access if you breach these Terms; payment is overdue; use of the service creates legal, security, or operational risk; we are required to do so by law; or your use of Trust Signal harms Rooni, other customers, or end users. You may cancel your subscription according to the cancellation process made available in your account or billing portal.
21. Effect of termination
After termination your right to use Trust Signal ends; scripts may stop functioning or may no longer receive updates; access to dashboards and records may be restricted; Customer Data may be deleted or retained according to our retention policy, legal obligations, and any applicable Data Processing Addendum. You are responsible for exporting any required records before termination where export functionality is available.
22. Disclaimers
Trust Signal is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and guaranteed compliance outcomes.
23. Limitation of liability
To the maximum extent permitted by law, Rooni will not be liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages. Our total liability for claims relating to Trust Signal will not exceed the amount paid by you to Rooni for the service during the twelve months before the claim arose. This limitation does not exclude liability that cannot be excluded by law.
24. Indemnity
You agree to indemnify Rooni against claims, losses, damages, penalties, costs, and expenses arising from your unlawful use of Trust Signal; your website, app, tags, scripts, cookies, or vendors; your incorrect configuration of consent settings; your breach of these Terms; or your breach of applicable privacy, consumer, or data protection laws.
25. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, unless applicable consumer protection laws require otherwise.
